Startup Partner:Cross Switch

Cross Switch is a fast-growing fintech company based in Luxembourg, founded in 2021. We are at the centre of the constantly evolving fintech industry, reinventing payments, banking solutions, and money. Our focus is on our Africa rollout, and we combine two synergistic strategies:

  • Cross Switch Payments : a specialist provider of local and cross-border payment solutions for digital merchants and customers in Africa or those looking to access high-growth African markets.
  • Cross Switch Technology : providing technology solutions to financial institutions and payments companies in Africa.

Engagement Description

Cross Switch is looking for an experienced candidate to head up Cross Switch’s legal and compliance functions on the African continent.

The role involves managing legal matters related to investment activity, fundraising, and commercial arrangements; establishing and managing a legal and compliance department; managing investments and fundraising activities; and overseeing corporate secretarial functions and the company's legal database.

Responsibilities:

General

  • Assisting the CEO and senior team members in all aspects of the company's strategy and development.
  • Establishing a fully functioning legal and compliance department, as well as corporate secretarial functions in the country, focusing on ensuring consistency in key documents, policies, and procedures.
  • Managing legal matters related to the company's investment activity, fundraising, and commercial arrangements.
  • Developing the company's corporate secretarial functions.
  • Leading or participating in investment, investor, commercial, and partner presentations, meetings, and negotiations.

Legal and Compliance Department

  • Establishing a legal and compliance department.
  • Managing relationships with regulatory bodies acting as a liaison and obtaining and maintaining necessary licenses and approvals.
  • Developing a panel of legal and regulatory advisors, and managing outside counsel.
  • Implementing and developing legal and compliance policies.
  • Recruiting team members and managing their performance.

Investments

  • Managing investments, identifying and executing targets, handling due diligence, and structuring local companies, joint ventures, and related corporate arrangements.
  • Negotiating acquisitions, including shareholders' arrangements, share purchase agreements, and related investment arrangements.

Fund Raising

  • Assisting senior management with legal and regulatory issues for marketing and fundraising activities.
  • Managing financing for capital increases and debt facilities with investors.

Company Secretarial – Legal database

  • Manage the company's existing corporate structure and entity formation in the country.
  • Oversee corporate secretarial functions, including ensuring that company entities hold appropriate board and shareholder meetings, preparing agendas and resolutions, taking and preparing minutes, and adhering to all corporate filings.
  • Manage the company's database, contracts, templates, and legal/regulatory know-how.
  • Recruit suitable team members to assist with the company's secretarial and legal database.

Reports to: CEO, Cross Switch Ghana

Skills & Requirements

  • 10+ years of legal experience in corporate finance/commercial matters gained in-house and/or at a law firm - focus on fintech advantages.
  • Superior legal and commercial acumen, with hands-on experience in managing and executing M&A activity, financing arrangements, and regulatory processes.
  • Strong executive presence, with a desire to further legal and commercial skills and management.
  • Confident and enjoys working autonomously.
  • Dynamic and relishes fresh challenges in a fast-paced environment.
  • Able to interact with colleagues and third parties at all levels of seniority.
  • Excellent organizational skills and the ability to prioritize effectively.
  • A demonstrated ability to present information effectively and in a timely manner to senior management.
  • Strong oral and written communication skills.
  • Fluent in English (French a plus)
  • A degree in Law (Master's degree a plus)
